1. Acceptance of Terms

By downloading, accessing, or using the Jovi mobile application (the "App") operated by Jovi Technologies, Inc. ("Jovi," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or by updating the "Last Updated" date above. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old to create an account and use Jovi. By using the App, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

If you are using the App on behalf of a business (e.g., as a salon owner or studio operator), you represent that you have the authority to bind that business to these Terms.

3. Account Registration

To use Jovi, you must create an account using one of the following methods: email and password, phone number, Google Sign-In, or Sign in with Apple. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@thejoviapp.com if you suspect unauthorized use of your account.

Jovi reserves the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes.

4. User Types and Marketplace

Jovi serves three user types:

Jovi is a marketplace platform that connects these users. We do not employ any users, guarantee employment or gig placement, or serve as an employer or staffing agency. Any arrangement between users is solely between those parties.

5. User Conduct

By using Jovi, you agree not to:

• Provide false, misleading, or inaccurate information in your profile, portfolio, or applications.
• Impersonate any person or entity, or falsely claim a professional license, certification, or affiliation.
• Upload, post, or share content that is illegal, obscene, sexually explicit, threatening, harassing, defamatory, discriminatory, or that violates any third party's rights.
• Use the App to spam, solicit, or send unsolicited communications.
• Attempt to gain unauthorized access to other users' accounts, data, or the App's systems.
• Use the App for any purpose other than its intended marketplace functionality.
• Scrape, crawl, or use automated means to access or collect data from the App.
• Interfere with the App's functionality, security, or infrastructure.
• Violate any applicable local, state, national, or international law or regulation.

6. User-Generated Content

6.1 Your Content

You retain ownership of the content you upload to Jovi, including portfolio photos, profile information, and messages ("Your Content"). By uploading Your Content, you grant Jovi a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute Your Content solely for the purpose of operating and improving the App and marketplace.

6.2 Content Standards

All content uploaded to Jovi must comply with these Terms and our community standards. You agree that Your Content will not contain material that is sexually explicit, violent, hateful, discriminatory, infringing on intellectual property rights, or otherwise objectionable.

6.3 Content Moderation

Jovi reserves the right to review, remove, or disable access to any content that violates these Terms, without prior notice. Users can report content or other users through the in-app reporting feature.

6.4 No Endorsement

Jovi does not endorse any user-generated content and is not responsible for the accuracy, quality, or legality of content posted by users.

7. Portfolio Photos

You may upload photos to your professional portfolio within the App. By uploading photos, you represent and warrant that:

• You own the photos or have the necessary rights and permissions to upload and display them.
• The photos do not infringe on any third party's intellectual property, privacy, or publicity rights.
• You have obtained consent from any identifiable individuals depicted in the photos.
• The photos comply with the content standards described in Section 6.

8. Gigs and Applications

Founders may post gig opportunities on the App. Licensed Pros and Future Pros may apply to posted gigs. Jovi does not guarantee that any gig will be filled or that any application will be accepted.

Jovi is not a party to any agreement between a Founder and a Pro or Student. We do not verify the terms of any employment or contractor arrangement. Users are solely responsible for negotiating compensation, scheduling, and work terms.

Jovi does not process payments between users. Any payment for services is handled directly between the parties outside the App.

9. Intellectual Property

The App, including its design, features, code, content, logos, and trademarks, is the property of Jovi Technologies, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the App without our prior written consent.

"Jovi" and the Jovi logo are trademarks of Jovi Technologies, Inc. You may not use our trademarks without prior written permission.

10. Privacy

Your use of the App is also governed by our Privacy Policy. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

13. Indemnification

You agree to indemnify, defend, and hold harmless Jovi Technologies, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the App, your violation of these Terms, your content, or your violation of any rights of a third party.

14. Termination

You may terminate your account at any time by using the in-app account deletion feature or by contacting support@thejoviapp.com.

Jovi may suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the App ceases immediately, and we may delete your account data in accordance with our Privacy Policy.

15. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the App shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration administered by JAMS in Los Angeles County, California, in accordance with its Streamlined Arbitration Rules.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Jovi Technologies, Inc. regarding your use of the App.
